I had the same problem. The only way I could get it to work was to put
mod_php3.c at the top of the LoadModule and AddModule lists in my
httpd.conf. Everything seems to work OK despite the warning not
to change the module order unless you know what you are doing but
your milage may vary.

In a previous post I asked if doing this has any undesirable side effects
but have not yet gotten a response. Hope this helps.

Worked on my system too ... I get a core dump when I do httpd -S, but at
least the Virtual Hosts are alive, PHP works, and she serves up the HTML
pages. Thanks, Eddie!

Suggestion.  Upgrade to PHP 4.02.

You should do a 'ldd libmysqlclient.so' and see if there is a 
reference to libpthreads.  If so, you need a non-pthreaded mysql 
client library.  Either compile the mysql client libs from source or
download non-threaded client libs from mysql.com
